These Terms and Conditions (“Terms”) govern your access to this website and your purchase of any material offered on it. By using this site or placing an order, you agree to these Terms. If you do not agree, do not use this site and do not order.

Research use only

Every material offered on this site is supplied strictly for laboratory research use. Nothing offered here is a drug, a food, a dietary supplement, a cosmetic, or a medical device, and nothing offered here is approved by the U.S. Food and Drug Administration for any use in humans or animals.

The materials are not intended for, and must not be used for, any of the following:

administration to, or consumption by, any human being, by any route;
administration to, or consumption by, any animal;
any diagnostic, therapeutic, preventive, or clinical purpose;
compounding, repackaging, relabelling, or resale as a drug, supplement, food, cosmetic, or personal-care product;
use in or on the human or animal body in any form.

This restriction is the basis on which the material is sold. It is not a formality, and it is not waived by anything said by any employee, by any listing, or by any third party.

No health or performance claims

We make no claim, express or implied, that any material offered on this site has any effect on any disease or condition, or that it produces any health, wellness, cosmetic, athletic, or other benefit in humans or animals. Nothing on this site is medical, veterinary, or scientific advice.

Where this site links to published literature, those publications are the work of their authors. They are provided as bibliographic references for researchers. Linking to a publication is not a claim by us about the material, its effects, or its suitability for any purpose, and a publication describing a study is not evidence that any outcome applies to our material.

Who may purchase

By placing an order you represent and warrant that all of the following are true:

you are at least 21 years of age and legally able to enter into a contract;
you are acquiring the material for bona fide laboratory research, in a professional, academic, institutional, or commercial research capacity;
you, or the personnel who will handle the material, are qualified and trained to handle research chemicals safely;
you have access to facilities and equipment appropriate to the safe handling, storage, and disposal of the material;
you are not acquiring the material for yourself or any other person to consume, and you will not supply it to anyone who intends to;
the information you provide at checkout, including the shipping address, is accurate.

We may refuse, cancel, or limit any order at our discretion, including where we believe the material may be intended for human or animal use. We may do so after an order is placed, in which case we will refund it.

Your responsibility for compliance

You are solely responsible for determining whether your intended research use is lawful where you are, and for complying with every applicable federal, state, and local law and regulation, along with any institutional policy, licence, permit, or approval that applies to you. That includes rules on the receipt, possession, handling, storage, transport, export, and disposal of research materials.

We do not advise on the regulatory status of any material in your jurisdiction or for your intended use. Nothing on this site should be read as confirmation that a purchase or a use is lawful for you.

Handling and safety

Research materials must be handled as hazardous unless and until you determine otherwise. Toxicological and physiological properties may not be fully characterised. Use appropriate engineering controls and personal protective equipment, follow your own institution’s safety procedures, and dispose of material and containers in accordance with applicable regulations.

Certificates of analysis and specifications

Where we publish a certificate of analysis, it reports the results of the stated tests performed on the stated lot, by the stated laboratory, on the stated date. A certificate is a record of those measurements and nothing more.

A result for one lot does not describe any other lot.
A test that is not listed on a certificate was not performed. Do not infer it.
A purity result does not establish sterility, endotoxin level, or fitness for any purpose.
Certificates are supplied for documentation. They are not a warranty of suitability for your research, which remains your assessment to make.

Orders, prices, and payment

Prices are quoted in U.S. dollars and may change without notice. A listing is an invitation to order, not an offer; a contract is formed only when we accept your order. We may correct pricing or description errors, and may cancel an affected order with a refund even after it is confirmed. Prices do not include sales tax. Where we are required to collect it, sales tax is added at checkout, including on shipping charges where the law taxes them. When you pay on this site, payment is taken through our payment processor and we do not receive or store full payment card details. When no payment method is offered at checkout, you may place your order with us directly by email or telephone, and we will tell you how to pay. Unless we agree otherwise in writing, payment must be received before we accept an order.

ACH and e-check authorization

All ACH and e-check payments are made payable to Timeless Research LLC.

Authorization for order payment. Each time you place an ACH or e-check order by clicking the “Place Order” button, you authorize choosetimeless.com to initiate a single ACH electronic debit to your account, in the amount of your order, from the bank account details you provide, on the date of your order. You agree that the ACH transactions you authorize comply with all applicable law. Payments made after 2:00 PM Eastern time are applied as of the next business day. Once payment is authorized there can be no changes or corrections. We recommend that you print a copy of this authorization and keep it for your records.

Authorization for account-validation micro-entries. Each time you place an ACH or e-check order by clicking the “Place Order” button, you also authorize choosetimeless.com to initiate a one-time ACH debit and/or credit entry to your account for a micro amount of less than one dollar, in order to validate the bank account details you provide on the date of your order, and to initiate an ACH credit to recover the amount of a micro deposit. You agree that such ACH transactions comply with all applicable law. Once you click “Place Order” you cannot revoke this authorization. Orders placed after 2:00 PM Eastern time may receive validation micro-entries on the next business day. We recommend that you print a copy of this authorization and keep it for your records.

Shipping

Shipping charges are shown at checkout, before you place your order. We ship to addresses within the United States only. We do not ship internationally, and we do not ship to freight forwarders for onward export. Delivery estimates are estimates, not guarantees. Title and risk of loss pass to you on delivery to the carrier.

Returns and refunds

Because we cannot verify the storage conditions of material once it has left our control, and because material of unverifiable provenance must never re-enter supply, opened or shipped material cannot be returned for restocking. If an order arrives damaged, incorrect, or materially different from its certificate of analysis, contact us within 7 days of delivery with your order number, the lot number, and photographs, and we will replace it or refund it. Our shipping and returns page sets out the current procedure.

Chargebacks and payment disputes

If something is wrong with an order, contact us first. Nearly every dispute is a damaged shipment, a wrong item, or a delivery problem, and all three are resolved faster directly than through a bank. Our returns process above is the route we ask you to use, and we will replace or refund a qualifying order under it.

A chargeback or ACH reversal filed on an order we supplied correctly is not a substitute for that process. When one is filed we will respond to the bank or card network with the records we hold for the order, which ordinarily include:

the order record, the itemised amount, and the billing details submitted at checkout;
the research-use attestation accepted at checkout, with the exact wording and the time it was accepted;
the research details and company name you gave at checkout;
the payment authorization you gave, including any ACH authorization recorded above;
carrier tracking and delivery confirmation;
the certificate of analysis for the lot supplied.

Two points specific to research material. A claim that material was “not as described” is assessed against the certificate of analysis for the lot you received, which is published on this site and reachable from the QR code on the vial label. And a claim that an ACH debit was unauthorized is assessed against the authorization recorded at checkout, which is captured for every order.

Where a chargeback is resolved in our favour, or is withdrawn, any amount reversed remains payable together with any fee charged to us by the bank or network. We may suspend or close an account with an unresolved chargeback, may decline future orders from it, and may require prepayment by another method. We may report a chargeback we believe to be fraudulent.

Nothing in this section limits any right you have under applicable law or under the rules of your bank or card network, and nothing here is a waiver of your right to dispute a charge. It sets out what we will do and what the consequences are, so that neither of us is surprised.

Your use of this website

Unless we say otherwise, your use of this site is governed by these Terms together with our Privacy Policy, which is incorporated here by reference. In using this site you may not modify, distribute, transmit, reproduce, publish, license, transfer, or sell any information, product, or service obtained or viewed on it. You may display, download, or print copies of material on this site for your own personal, non-commercial use, provided you do not modify the content or remove any copyright, trademark, or other proprietary notice. Any other use requires our express written consent.

By using this site you agree to comply with all local, state, and federal laws, statutes, and regulations that relate to your use of it and to the products and services offered on it.

Accuracy of site information

We may correct any inaccuracy or typographical error in the information posted on this site, and we are not liable for such errors. Information may be changed or updated without notice, and prices and availability of goods and services are subject to change without notice.

Intellectual property

All text, graphics, user interfaces, visual interfaces, photographs, logos, sounds, artwork, and computer code on this site, together with its design, structure, selection, coordination, expression, and arrangement (collectively, the “Content”), is owned, controlled, or licensed by Timeless Research LLC and is protected by copyright, trademark, and other intellectual property and unfair competition laws.

Except as expressly provided in these Terms, no part of this site and no Content may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, or distributed in any way, including by mirroring, to any other computer, server, website, or medium for publication or distribution or for any commercial enterprise, without our express prior written consent. Product names and third-party marks referenced on this site belong to their respective owners and are used for identification only.

Information you provide

Our collection and use of any information you provide while using this site is governed by our Privacy Policy and by these Terms. You may not upload, distribute, or publish on this site any information that is obscene, defamatory, libellous, threatening, abusive, illegal, an invasion of privacy, or otherwise objectionable, or that would constitute or encourage a violation of any law.

Except for personal information collected in accordance with our Privacy Policy, any comment, remark, suggestion, or idea you send us may be used by us without restriction and without compensation to you. We are under no obligation to keep such material confidential.

Links and third-party sites

Links to or from sites outside this one are provided for convenience only. We do not review, endorse, approve, or control those sites and are not responsible for them, their content, the parties named on them, or their products or services. Following any such link is at your own risk, and we disclaim all warranties, express and implied, as to the accuracy, validity, and legality of anything found there. Where a link leads to downloadable software, use of that software is governed by its own licence, not by these Terms.

Availability of this website

This site is generally available at all hours, but we may make it unavailable at any time, for any reason, and for any length of time. By using it you agree that we are not liable for any damage arising out of or related to any interruption, suspension, or termination of the site or of the services or products offered on it.

Accounts

If you create an account you are responsible for the accuracy of its details, for keeping its credentials confidential, and for everything done through it. Tell us promptly if you believe it has been used without your authorisation. We may suspend or close an account that we believe has been used in breach of these Terms, and if a breach causes harm to others you agree to indemnify us against the resulting loss, damage, or expense.

Disclaimer of warranties

Except for the limited conformity commitment in the returns section above, all material and all content on this site are provided “as is” and “with all faults”, without warranty of any kind. To the fullest extent permitted by law, we disclaim all warranties, express, implied, or statutory, including any implied warranty of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade. We do not warrant that any material is fit for any particular research application; determining that is your responsibility.

We do not warrant that this site will operate without error, that defects will be corrected, or that this site or the server that makes it available are free of viruses or other harmful components. You are responsible for adequate protection and backup of your own data and equipment.

Limitation of liability

To the fullest extent permitted by law, neither Timeless Research LLC nor its officers, employees, or suppliers will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, or business interruption, arising out of or relating to this site or any material purchased through it, on any theory of liability, even if advised of the possibility. Our total aggregate liability arising out of or relating to any order will not exceed the amount you paid for that order.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited. Some jurisdictions do not allow certain exclusions, so some of the above may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Timeless Research LLC and its officers, employees, and suppliers from and against any claim, liability, loss, damage, cost, or expense, including reasonable legal fees, arising out of or relating to your use of any material purchased from us, your breach of these Terms, your violation of any law or regulation, or any injury or damage caused by material after it leaves our control. This includes, without limitation, any claim arising from administration of the material to any human or animal, whether by you or by anyone else.

Relationship of the parties

We and the users of this site are independent contractors. No agency, partnership, employment, or other relationship is created or intended to be created by your use of this site.

Force majeure

We are not liable for any delay or failure in performance caused by circumstances beyond our reasonable control, including backorders, mail and carrier delays, customs delays, and lost shipments. We are not obliged to notify you of such delays, and you are responsible for making alternative arrangements and for any cost of doing so.

Governing law and disputes

This site is administered and controlled by us from our offices in accordance with the laws of the State of Texas. These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict-of-laws rules. The exclusive venue for any dispute arising out of or relating to these Terms or any order is the state or federal courts located in Travis County, Texas, and you consent to the personal jurisdiction of those courts. You access this site at your own risk and remain responsible for complying with the laws of the jurisdiction in which you are located.

Changes to these Terms

We may update these Terms. The version in force for your order is the version published on this page at the time you placed it, and the effective date above tells you when the current version was published. Continuing to use the site after a change means you accept the updated Terms.

Entire agreement, severability, and interpretation

These Terms, together with any terms incorporated or referred to in them, are the entire agreement between you and Timeless Research LLC relating to your use of this site and the subject matter of these Terms, and supersede any prior understanding or agreement, whether electronic, oral, or written. They may not be amended except in writing or by our publishing an amended version in accordance with the section above.

If any provision of these Terms is held unenforceable, that provision will be limited or severed to the minimum extent necessary and the remaining provisions will stay in full force. Headings are for reference only and do not affect interpretation.
